TERMS AND CONDITIONS OF USE

1. PREAMBLE AND LEGAL STATUS
These Terms and Conditions of Use (“Terms”) constitute a legally binding agreement between you, whether acting in your individual capacity or on behalf of an entity (“User”, “You”, or “Your”), and Prernamart.com (the “Platform”), which is an initiative facilitated under the aegis of the Uttar Pradesh State Rural Livelihood Mission (UPSRLM) and supported by the Government of Uttar Pradesh.
The Platform has been conceptualized and developed with the objective of providing a digital marketplace to enable Self Help Groups (“SHGs”), rural entrepreneurs, artisans, and other independent third-party sellers (“Sellers”) to showcase and sell their products to a wider audience. The Platform acts as a technological interface to connect Sellers and Users and to facilitate interactions and transactions between them.
It is expressly clarified and agreed that the Platform operates solely as a technology intermediary and facilitator, and neither UPSRLM nor the Government of Uttar Pradesh shall be deemed to be a seller, reseller, manufacturer, distributor, service provider, or contracting party in respect of any goods or services listed or transacted through the Platform. No relationship of agency, partnership, joint venture, or employment is created between UPSRLM, the Government of Uttar Pradesh, the Platform, Sellers, or Users by virtue of these Terms or the use of the Platform.
2. ACCEPTANCE OF TERMS
By accessing, browsing, registering on, or otherwise using the Platform in any manner whatsoever, You hereby acknowledge and agree that You have read, understood, and accepted these Terms in their entirety. Your continued use of the Platform shall constitute Your unconditional and irrevocable acceptance of these Terms, including any amendments or modifications that may be made from time to time.
You further represent and warrant that You are legally competent to enter into a binding contract under the laws of India. In the event that You do not agree to any provision of these Terms, You are required to immediately discontinue access to and use of the Platform.
3. NATURE OF SERVICES AND INTERMEDIARY STATUS
The Platform provides an online marketplace that enables Sellers to list, advertise, and sell their products, and facilitates communication and transactions between Users and Sellers. The Platform may also provide certain ancillary services such as payment facilitation, logistics coordination, customer support interfaces, and dispute facilitation tools; however, all such services are provided strictly on a facilitative basis.
You expressly acknowledge and agree that UPSRLM and the Government of Uttar Pradesh do not exercise control over, and are not responsible for, the quality, safety, legality, availability, or authenticity of products listed by Sellers. They do not guarantee the accuracy, completeness, or reliability of any information provided by Sellers, and they do not assume responsibility for the fulfillment, delivery, warranty, or after-sales obligations associated with any transaction conducted through the Platform.
The Platform qualifies as an “intermediary” under applicable Indian laws, including the Information Technology Act, 2000, and shall be entitled to all protections and exemptions available to intermediaries thereunder.
4. INTERMEDIARY SAFE HARBOUR AND LEGAL COMPLIANCE
The Platform shall operate in compliance with applicable provisions of the Information Technology Act, 2000 and the rules framed thereunder, including those relating to intermediary liability. The Platform shall not be liable for any third-party information, content, or communication hosted, transmitted, or made available through it.
The Platform does not undertake general monitoring of content but shall act upon receiving actual knowledge in the form of a lawful order or notification from a competent authority, in accordance with applicable law. Upon such notification, the Platform may remove or disable access to the relevant content without incurring liability.
5. NO AGENCY, PARTNERSHIP, OR REPRESENTATION
Nothing contained in these Terms shall be construed as creating any agency, partnership, joint venture, employment, or fiduciary relationship between the Platform, UPSRLM, the Government of Uttar Pradesh, and any Seller or User. Sellers operate as independent contractors and are solely responsible for their conduct, representations, and obligations.
Sellers shall have no authority to bind, represent, or act on behalf of the Platform, UPSRLM, or the Government in any manner whatsoever, and any actions taken by Sellers shall not create any liability on the Platform or the Government.
6. USER REGISTRATION AND ACCOUNT RESPONSIBILITY
In order to access certain features of the Platform, Users may be required to create an account by providing accurate, complete, and current information. Users agree to maintain the confidentiality of their account credentials and to restrict access to their accounts.
You shall be solely responsible for all activities conducted under Your account, whether or not such activities are authorized by You. In the event of any unauthorized use or suspected breach of security, You must notify the Platform immediately.
The Platform, UPSRLM, and the Government of Uttar Pradesh shall not be liable for any loss or damage arising from unauthorized access, misuse of accounts, or failure to maintain account security.
7. SELLER CONTENT AND PRODUCT LISTINGS
All product listings, including descriptions, specifications, images, pricing, and other details, are provided solely by the respective Sellers. The Platform does not independently verify, validate, or endorse such information.
You acknowledge that product images may be illustrative, descriptions may contain inaccuracies, and actual products may differ from what is displayed. Sellers are solely responsible for ensuring that their products comply with applicable laws, standards, and regulations.
UPSRLM and the Government of Uttar Pradesh expressly disclaim any liability arising from misrepresentation, defects, non-compliance, or inaccuracies in Seller-provided content.
8. COMPLIANCE WITH APPLICABLE LAWS
All Users and Sellers agree to comply with all applicable laws, including but not limited to consumer protection laws, taxation laws, intellectual property laws, and product-specific regulatory requirements. Sellers are responsible for obtaining all necessary licenses, permits, and approvals required for their operations.
The Platform, UPSRLM, and the Government shall not be liable for any legal consequences arising from non-compliance by Users or Sellers.
9. TAXATION DISCLAIMER
All applicable taxes, including Goods and Services Tax (GST), duties, levies, or other statutory charges, shall be the sole responsibility of the Seller. Sellers shall be responsible for accurate tax collection, reporting, and remittance.
The Platform and UPSRLM shall not be liable for any errors, omissions, or non-compliance related to taxation by Sellers.
10. PRICING, PAYMENTS, AND BILLING
Prices displayed on the Platform are determined by Sellers and may change without prior notice. Payments may be processed through third-party payment gateways.
By making a payment, You authorize the Platform and its payment service providers to process such payment. The Platform shall not be liable for payment failures, delays, unauthorized transactions, or errors attributable to third-party service providers.
11. ORDER ACCEPTANCE AND FULFILLMENT
An order placed by You constitutes an offer to purchase a product from a Seller. Such offer shall be deemed accepted only upon confirmation by the Seller.
The Platform does not guarantee acceptance of any order and reserves the right to cancel orders due to reasons including product unavailability, pricing errors, or suspected fraud.
All obligations relating to fulfillment, packaging, and delivery are the sole responsibility of the Seller.
12. SHIPPING AND DELIVERY
Shipping and delivery are managed by Sellers or third-party logistics providers. Delivery timelines are indicative and may vary due to multiple factors.
The Platform, UPSRLM, and the Government shall not be liable for delays, damages, or non-delivery of products.
13. RETURNS, REFUNDS, AND CANCELLATIONS
Return and refund policies are determined by Sellers and may vary. The Platform may facilitate communication but does not guarantee resolution of disputes.
UPSRLM and the Government shall not be liable for disputes relating to returns or refunds.
14. THIRD-PARTY SERVICES DISCLAIMER
The Platform may integrate with third-party services, including payment gateways and logistics providers. The Platform does not control or endorse such services and shall not be liable for their performance or actions.
15. NO GUARANTEE OF CONTINUOUS OR ERROR-FREE SERVICE
The Platform does not guarantee uninterrupted, timely, or error-free operation. Access may be suspended due to maintenance, upgrades, or technical issues.
Neither the Platform nor UPSRLM nor the Government shall be liable for any loss arising from such interruptions.
16. FRAUD PREVENTION AND RIGHT TO INVESTIGATE
The Platform reserves the right to monitor transactions and investigate suspicious activities. It may suspend accounts or cancel transactions without notice if fraud is suspected.
Information may be shared with authorities in compliance with applicable laws.
17. RIGHT TO REMOVE CONTENT
The Platform may remove or restrict access to any content or account that violates these Terms or applicable law, without prior notice and without liability.
18. LIMITATION OF PLATFORM ROLE IN DISPUTES
In the event of disputes between Users and Sellers, the Platform may provide facilitation support but shall not be obligated to resolve such disputes or act as an adjudicating authority.
19. DISCLAIMER OF WARRANTIES
All services and products are provided on an “as is” and “as available” basis. No warranties, express or implied, are provided by the Platform, UPSRLM, or the Government.
20. INDEMNIFICATION
You agree to indemnify and hold harmless the Platform, UPSRLM, and the Government of Uttar Pradesh from any claims, damages, or liabilities arising from Your use of the Platform or breach of these Terms.
21. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Platform, UPSRLM, and the Government shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the lesser of the transaction value or INR 1,000.
22. GOVERNMENT NON-LIABILITY AND NON-ENDORSEMENT
The Government of Uttar Pradesh and UPSRLM do not endorse or guarantee any product or Seller. Their role is limited to facilitating livelihood initiatives.
23. FORCE MAJEURE
No liability shall arise for failure or delay due to events beyond reasonable control, including natural disasters, government actions, or network failures.
24. AUDIT AND COMPLIANCE RIGHTS
The Platform reserves the right to verify Seller compliance and request documentation. Failure to comply may result in suspension.
25. ELECTRONIC RECORDS AND COMMUNICATIONS
Electronic communications and agreements shall be legally valid and enforceable.
26. TERMINATION
The Platform may suspend or terminate access without notice and without liability.
27. GRIEVANCE REDRESSAL MECHANISM
A Grievance Officer shall be appointed in accordance with applicable law. Complaints shall be addressed within prescribed timelines; however, the Platform’s role remains facilitative.
28. CONSUMER LAW CLASSIFICATION
The Platform operates as a marketplace entity and not an inventory-based e-commerce entity. All product-related liabilities rest with Sellers.
29. WAIVER
Failure to enforce any provision shall not constitute a waiver of rights.
30. SURVIVAL
Certain provisions, including indemnity and limitation of liability, shall survive termination.
31. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts at Lucknow, Uttar Pradesh.
32. MODIFICATIONS
The Platform reserves the right to modify these Terms at any time. Continued use constitutes acceptance.
33. SEVERABILITY AND ENTIRE AGREEMENT
If any provision is invalid, the remaining provisions shall remain in effect. These Terms constitute the entire agreement.
